The following Terms and Conditions constitute a legal agreement between you and Zindex LLC. By accessing, browsing, or using this website (“Site”), you acknowledge that you have read, understood, and agree to comply with these Terms and all applicable laws and regulations. If you do not agree to these Terms, do not use this Site.

All materials provided on this Site are protected by applicable laws, including United States copyright laws. Users accessing this Site from locations outside the United States do so at their own risk and are responsible for compliance with local laws.

USE OF SITE

Your right to use this Site and any services provided by Zindex LLC is conditioned upon your compliance with these Terms. Content on Zindex LLC websites may not be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used in any form without prior written authorization from Zindex LLC.

PROHIBITED USES

You agree not to use this Site or its content for any unlawful or unauthorized purpose. You further agree not to:

You acknowledge and agree that Zindex LLC is not responsible for any damages or losses resulting from your use of any third-party websites.

PAYMENT TERMS

A valid credit card or approved payment method is required to open and maintain an account with Zindex LLC.

All services are billed in advance on a recurring basis and are non-refundable. There are no refunds or credits for partial months, unused services, or early termination with an active account.

Payment is due on the defined billing date. Accounts that become ten (10) days past due may have services suspended without notice.

Failed Bank Transfers and ACH Payments

If payment is made via bank draft, ACH transfer, or direct deposit and the payment is returned, rejected, or otherwise fails for any reason, a failed payment fee of $20.00 will be assessed per occurrence. This fee is due immediately.

Zindex LLC reserves the right to suspend services until all outstanding balances, including failed payment fees, are paid in full. Repeated failed payments may result in the removal of bank draft as an available payment method and require payment by credit card.

SERVICE DISCLAIMERS AND SEO TERMS

Search engines independently determine rankings. While Zindex LLC follows industry best practices, no rankings or performance outcomes are guaranteed. You acknowledge that SEO results vary and depend on factors beyond Zindex LLC’s control.

TERMINATION, CANCELLATION, AND REACTIVATION POLICY

All cancellation requests must be submitted in writing via email or mailed written notice. Phone cancellations are not valid unless accompanied by written confirmation.

Cancellation requests must be received at least ten (10) days prior to the next billing date.

Upon cancellation, all stored data may be permanently deleted and cannot be recovered.

If services are terminated before the completion of a contract term, the client agrees to pay an early termination fee equal to the greater of fifty percent (50%) of the remaining balance or one (1) full month of service.

If collection action is required, the client agrees to pay all associated costs, including attorney fees and court costs.

If Zindex LLC has built a website for the client, the client may request delivery of website HTML and domain transfer for a fee of $199 after completion of the full contract term. Zindex LLC retains ownership of proprietary code and platform files.

A three (3) day right of rescission applies to all new clients from the date of payment. Cancellation requests must be submitted in writing.

FORCE MAJEURE

Zindex LLC shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to acts of God, internet outages, hosting provider failures, third-party service disruptions, governmental actions, or power failures.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Zindex LLC and its affiliates from any claims, damages, losses, or expenses arising from your use of the Site or Services, your violation of these Terms, or your violation of any third-party rights.

DISCLAIMER OF WARRANTIES

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ZINDEX LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ZINDEX LLC DOES NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

LIMITATION OF LIABILITY

IN NO EVENT SHALL ZINDEX LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES. YOUR SOLE REMEDY IS TO DISCONTINUE USE OF THE SITE.

GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Utah. Any legal action arising from these Terms or the Services shall be brought exclusively in the state or federal courts located in Utah, and you consent to jurisdiction therein.

CHANGES TO TERMS

Zindex LLC reserves the right to modify these Terms at any time. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
